法律硕士学位论文评阅参考标准  硕 士 学 位 论 文 我国股票期权制度研究 Research on Stock Option System in China  作 者 姓 名： 指 导 教 师：  姚钟炎 曹兴权 教授  西  南  政 法  大 学  Southwest University of Political Science and Law 内容摘要 股票期权，是指给予经理人在未来一定时间内以一定的价格购买一定数量公司股票 的选择权，其实质是将普通股认购权作为报酬的一部分有条件地授予经理人及其他人 员，是一种把管理者的个人利益与公司的长远利益结合起来的长期激励机制。股票期权 制度首先是一项法律制度，健全的法律法规体系是股票期权发挥作用的基础和保证，美 国、英国、日本及其他国家的公司股票期权激励制度建立和发展都有相应的法律对其进 行保障，所以股票期权能在这些国家得以发展。相比较而言，虽然我国早已开始试行这 项制度，但至今并未形成完善的法律制度体系。 本文主要从股票期权制度的基本理论入手，结合我国目前推行股票期权制度过程中 出现的问题展开分析，提出我国现有制度环境下股票期权制度的调整和完善思路。全文 除去引言和结语部分外，共分为五部分。 第一部分是股票期权制度概述。阐述了股票期权制度的概念、衍生形式及其构成要 素，并详细讨论了股票期权的法律特征。 第二部分是我国推行股票期权制度的现实意义。股票期权制度将为建立有效的公司 治理结构提供工具和路径。同时，在《劳动合同法》的颁布和全球金融危机的背景下， 企业实施股票期权显得尤为必要。 第三部分是我国股票期权制度的实践与评价。系统回顾了我国股票期权制度从无到 有、从试点到大范围推广的发展过程，并对其中暴露出的问题进行了详细分析。 第四部分是我国股票期权制度的法律缺陷。对比美国完整的股票期权法律体系，阐 述我国目前股票期权法律现状，从中分析我国股票期权制度存在的法律缺失和障碍。 第五部分是我国股票期权制度的立法完善。股票期权法律制度是一个完整的体系， 涉及到公司法、证券法、税法、会计法、劳动法等多个领域，讨论如何进一步完善相关 法律法规，构建我国股票期权法律制度体系。 关键词：股票期权；普通股认购权；管理人激励；股权 1 Abstract Stock option means the option that gives to the manager for purchasing certain amount of company stock in certain price at certain time in the future. It’s a long term encouragement mechanism combined with personal interests of manager and the long term interests of the company. The system of stock option firstly is a legal rules, the completed system of laws and regulations is the basis and guarantee of elaborating the function of stock option. The stock option encouragement system in America, England, Japan and other countries all have related laws to insure its establishment and development, which are the reason that stock option can be well developed in these countries. Comparatively, although China already started to try this system for a period of time, however, still haven’t achieved a completed legal system yet. This paper is mainly focusing on the basic theory of stock option system, developing the analysis based on the existing problems occurred in the implementation of this rules, then bringing forwar
