It is Agreed between Intraclient Corporation of Palo Alto, California, USA hereinafter called INTC of the one part and ______________________________________________________________________________ School of Foreign Languages in Zhongnan University of Economics and Law, No. 1 South Nanhu Road, Hongshang, Wuhan ______________________________________________________________________________ hereinafter called School of the other part. WHEREAS :- 1. Intraclient Corp in the U.S.A. is the manufacturer, creator and distributor of the Waterford College of English Studies system, English123, English Corner Cafe Club, the English 3 in 1 education method, education and technology processes and software. 2. Intraclient’s installation of its Waterford system in the School will be within classroom/s (herein after known as classroom or center). 3. The number of classrooms provided initially by the School is ______. 4. The total number of classrooms provided will increase on a as-needed basis based on a requisition made by INTC which the School will provide within 30 days of such request. One of the classrooms will be used by INTC for administration purposes as well as a multifunction English club with books/beverages used as appropriate to INTC and its partners. 5. The School is the School of Foreign Languages within Zhongnan University of Economics and Law, Hongshang, Wuhan. 6. Students are regular students of the School and are the ultimate end-users of the Waterford system and must sign application forms to be admitted into the classroom where the Waterford course is run. 7. The territory that SCHOOL will operate the centers in on a non-exclusive basis is in the city of Hongshang, Wuhan in China at the specific and single location at the address stipulated hereunder: School of Foreign Languages, No. 1 South Nanhu Road, Hongshang, Wuhan 430073 ____________________________________________________________________ 8.
