中文摘要 摘要：BOT项目融资中贷款人依赖的是项目未来的收益和资产，项目建设运营过 程中的诸多风险导致世界范围内出现了许多失败的案例，项目的失败使贷款人无 法收回贷款，将贷款人置于危险境地。因此从项目公司的角度出发，研究各种资 信增级措施，以保证项目能够顺利建成并产生足够的现金流为贷款人还本付息， 有利于项目公司更容易获得贷款人的支持，同时也能保障贷款人的贷款安全，实 现项目公司和贷款人的双赢。 本文首先通过分析BOT项目融资的概念和特点，得到BOT项目融资的资信 基础为未来现金流、项目资产和合同支持，在三者的基础上分别提出了具体的资 信增级措旌，从而形成BOT项目融资的一个较完整的资信增级体系。在具体分析 增级措施之后，进行资信增级的效果评价。利用NPV方法定量分析履约担保、工 程保险两项措施对项目收益的影响。以假设的案例为基础探讨项目NPV保持不变 的情况下，担保费率、保险费率与贷款利率之间的关系，找到资信增级措施使得 项目公司和贷款人达到双赢的区域。最后在某污水处理厂BOT项目案例中，充分 利用可以采取的资信增级措施来增加项目的资信，从而使得贷款银行增加贷款额 度或降低一定的利率，利用NPV方法验证了资信增级措施的有效性。 关键词：BOT；项目融资；资信增级 ABSTRACT ABSTRACT：LendersinBeT onfuture and engaged financingdepend earnings project assetsofthe therealeso risks theconstructionand project，but many during operation, to of worldwide．Thefailureof makes whichleadfailure BOTcases many projects various lenderscan’trecovertheirloanand themintorisk．Therefore．weresearch puts ofcreditenhancementfromthe of toensurethe measures projectcompany perspective smooth ofthe andsufficient ofcashflowforthelenders’ completionproject generation the debtservice．Tllisisnot forthebenefitofthe butalsofor only projectcompany a the andthe ofthelenderswhichCallachievewin-winbetween safety projectcompany lenders． Tllis first
