法律意见书（股权证发行） 按照《股票发行与管管理规定暂行条例》第十三条条的规定，根据贵公司与ХХХ律师事务所签定的委托协议议书，ХХ律师事务所指派ХХХ律师（以下简称本律师））作为贵公司ХХ年度向社会会定向发行股权证工作的特聘聘法律顾问，就有关法律问题题，出具本法律意见书。 根据《委托协议书》，本律师师审查了以下事项： （11）发行人发行股权证的主体体资格； 2）发行人的的章程（草案）； 3））发行人的招股说明书； 4）发行人的重大债权债务务关系； 5）发行人涉涉及的诉讼、仲裁或行政处罚罚； 6）发行人的税务务问题； 7）本次募股股资金的运用； 8）本本次股权证发行的批准； 9）本次定向发行股权证证的实质条件； 10））涉及的其他中介机构等。 1、 发行人保证已已经提供了本律师认为作为出出具法律意见书所必需的真实实的原始书面材料、副本材料料或口头证言。 2、 本本律师已证实过副本材料或复复印件与原件的一致性。 3、 对于那些对意见书至至关重要而又无法得到独立的的证据支持的重要事实，本律律师依赖于有关政府部门、发发行人或其他有关单位出具的的证明文件。 4、 本法法律意见书仅供发行人为本次次股权证发行之目的使用，不不得用作任何其他目的。 5、 本律师同意将本法律律意见书作为发行人ХХ公司司上报申请材料中招股说明书书的附录，并依法对我们出具具的法律意见书承担责任。 附则： 1、本法律律意见书出具日为X年X月XX日。 2、本法律意见书书正本一式一份，副本一式XX份。 3、本法律意见书书在加盖ХХ律师事务所公章章且在经办律师签字后方可生生效。 经办律师：XX industrialization, industrial characteristics, contribute to ecological environmental protection.
