关于我国发行优先股融资的探讨 复旦大学 王凯 摘要 优先股是目前国内资本市场关注的热点话题。本文从优先股的概念及特征、优先股融资相对其他融资方式的优势以及国内外优先股的发展进程出发，主要研究了当前我国哪些行业比较适合发行优先股、优先股融资存在的问题及解决办法。由于我国有关优先股的制度建立健全较晚，发行优先股会给企业经营管理带来一定风险，会给企业的管理层带来一定的财务压力，因此，企业进行优先股融资时应当通盘考虑，使其利益最大，弊端最小。对此，国家应当健全有关优先股监管制度的法律法规，鼓励相关专家学者加大对优先股的理论研究、适度提高优先股股东对公司经营管理的决策权，同时，企业也应当加大对财务状况的监管，保持良好的现金流情况。关键词：优先股；融资；建议 Abstract Preferred stock is one of the hot issues concerned by the domestic capital markets. This article from the concept and characteristics of preferred stock, preferred stock financing relative to other financing way and the advantages of the development process of preferred shares, at home and abroad mainly studies the current our country which is suitable for industry to issue preferred stock, preferred stock financing problems and solutions. Because our country about the preferred system establishing and perfecting the late, issuing preference shares will certainly bring to enterprise management risk, financial will bring to the enterprise the management pressure, therefore, enterprises should carefully consider when the preferred stock financing, to maximize their interests, malpractice is minimal.
