摘要 随着经济布局和经济结构的战略调整，以及在新技术、新经济的带动下，企业日益受到人们的关注，它们一方面是社会经济发展的助推器和稳定器，在吸纳就业、推动经济增长、满足个性化需求、稳定社会等方面发挥重要的作用，另一方面，是渐进式改革的先导，是培育资本市场和经理市场的试验地，是我国成功改革和快速稳定发展的重要支撑。论文运用现代管理理论对我国企业在发展中面临的经济困境进行了分析，对我国企业改革的路径进行了研究，对股份合作制与传统合作制及合伙制进行了比较分析，提出股份合作制组织形式适合我国企业的改革。对股份合作制设立的程序和规范进行了分析，并将其研究成果应用于公司股份合作制改造中，从理论和实践的结合上为我国企业转换经营机制、提高经济效益提供了科学的方法和新的思路。 关键词：企业，股份制，改革，问题，研究； Abstract Along with the layout of state-owned economy and the strategic adjustment of the economic structure, as well as in the new technology, new economy drive, small and medium-sized enterprises is getting more and more attention, which is a social economic development boosters and stabilizer, in induct obtain employment, promote economic growth, to meet the personalized demand, stable social aspects play an important role in, on the other hand, is reform of advance gradually type pilot, is cultivating the capital market and manager market test, is the success of Chinas reform and the rapid and stable development is important prop up. Based on the theory of modern management of our country state-owned medium and small enterprises in the development of the economic dilemma that face undertook an analysis, to our country state-owned small and medium-sized enterprise reform path were studied, the stock cooperation system and the traditional cooperation and partnership to carry on the comparative analysis, put forward share collaboration make a form suitable for our country state-owned medium and small enterprises reform. On the cooperative shares system established procedures and norms are analyzed, and the study results can be applied to Yu Zhenhua company joint stock system reform, from the union of theory and practice of our country state-owned small and medium-sized enterprise changes management mechanism, raise economic benefits to provide a scientific method and a new train of thought.
