Incorporation of our Company Our Company was incorporated in the Cayman Islands under the Companies Law as an exempted company with limited liability on 5 May 2010. We have been registered in Hong Kong under Part XI of the Companies Ordinance as a non-Hong Kong company and our principal place of business in Hong Kong is at 40th Floor, Jardine House, 1 Connaught Place, Central, Hong Kong. In compliance with the requirements of the Companies Ordinance, Mr. Leung Ting Yuk of Room 1218, King Nam House, King Lam Estate, Tseung Kwan O, Hong Kong has been appointed as our agent for the acceptance of service of process and any notice required to be served on our Company in Hong Kong. Our Company was incorporated in the Cayman Islands and is subject to Cayman Islands law. Its constitution comprises a memorandum of association and articles of association.
