一、定义条款DEFINITIONS In this Agreement: Affiliate of a Party shall mean an entity (i) which is directly or indirectly controlling such Party; (ii) which is under the same direct or indirect ownership or control as such Party; or (iii) which is directly or indirectly owned or controlled by such Party. For these purposes, an entity shall be treated as being controlled by another if that other entity has fifty percent (50%) or more of the votes in such entity, is able to direct its affairs and/or to control the composition of its board of directors or equivalent body. “Agreement” shall mean this Frame Agreement for Contact Centre Services, including the Appendices attached hereto, together with relevant Service Agreements, as well as any documentation expressly incorporated by reference therein and shall include any amendments or addenda that may subsequently be agreed upon between the Parties in writing. Appendix shall mean a document, which the Parties shall by mutual agreement attach to this Agreement. All Appendices shall be subject to the terms and conditions of this Agreement. Amendments (if any) to an Appendix shall be mutually agreed in writing in accordance with Clause 20.1. “Change” shall mean any change, extension, deletion or other alteration to agreed Services and/or Service Result. Changes are subject to the change management process set out in Clause 10. Contact Centre Service(s) shall refer to details specified in service agreement. Effective Date of this Frame Agreement for Contact Centre Services shall mean 1st of August,2008 Error shall mean an error, mistake, problem, defect, failure or deficiency, which causes an incorrect or inadequate functioning or non-functioning of Services and/or Service Result or a deviation from the Specifications or other requirements set forth under the Agreement.
