第九章 不可抗力和仲裁 第一节 不可抗力 第二节 仲裁 第一节 不可抗力（Force Majeure） 一、不可抗力的含义 二、约定不可抗力条款的意义 国际上对不可抗力事件及其引起的法律后果并无统一的解释，为避免因发生不可抗力事件而引起不必要的纠纷，防止合同当事人对发生不可抗力事件的性质、范围作任意的解释，或提出不合理的要求，或无理拒绝对方的合理要求，故有必要在买卖合同中订立不可抗力条款，明确规定不可抗力事件的性质、范围、处理原则和处理方法，以利合同的履行。 三、不可抗力条款的规定 （二）不可抗力事件的处理 （三）不可抗力的通知 按照国际惯例，当发生不可抗力影响合同履行时，当事人要取得免责的权利，必须及时通知另一方，并在通知中提出处理的意见，对此，《公约》第79条第4款明确规定： （四） 不可抗力的证明 国际贸易中，当一方援引不可抗力要求免责时，都必须向对方提交证明文件，作为发生不可抗力的证据。 四、不可抗力条款示例 包括以下内容： 对不可抗力范围的限定 发生不可抗力事故后的处理方法 不可抗力事件的通知和证明 1、概括式规定 If the shipment of the contracted goods is prevented or delayed in whole or in part due to Force Majeure, the Seller shall not be liable for non-shipment or late shipment of the goods of this contract. However, the Seller shall notify the Buyer by cable or telex and furnish the latter within 15 days by registered airmail with a certificate issued by the China Council for the Promotion of International Trade attesting such event or events. 如由于不可抗力的原因，致使卖方不能全部或部分装运，或延迟装运合同货物，卖方对于这种不能装运，或延迟装运本合同货物不负有责任。但卖方须用电报或电传通知买方，并须在15天内，以航空挂号信件向买方提交由中国国际贸易促进委员会出具的证明此类事件的证明书。 2、列举式规定 If the shipment of the contracted goods is prevented or delayed in whole or in part by reason of war, earthquake, flood, storm, heavy snow, the Seller shall not be liable for non-shipment or late shipment of the goods of this contract.
