我国创业板市场存在的问题与对策研究 张鹏 （西南林学院经济管理学院 工商管理07级 昆明 650224） 摘要：我国创业板市场的建立具有重大的意义，其对于我国创业投资体系的建设、多层次资本市场的构建以及我国其他方面的经济改革都有极大的推动作用。自2009年10月第一批创业板公司上市以来，我国创业板市场已经取得了很大的发展。但是同时，由于我国创业板刚刚起步，其许多交易规则、规章制度等还不完善，使得创业板在发展过程中存在一些问题。由于创业板企业具有业绩不稳定、经营风险高等特点，创业板投资者应关注公司的风险因素，审慎作出投资决定。为了使创业板市场能够顺利建立并健康持续发展，实现其作用和功能，我国既要吸取国外创业板市场建设和发展的经验及教训，也要结合我国资本市场和经济发展的实际情况采取个性化措施。据此，本文首先通过对海外创业板市场的设立模式、市场准入条件及交易机制进行深入比较分析，借鉴国际上成熟的创业板市场经验，针对我国创业板市场的具体情况，在设立模式、资源结构、监管制度、信息披露制度、退市制度、交易制度和投资者保护制度等方面对我国创业板市场建设提出了对策建议，从而望能促进市场运作的规范化和制度化，推动市场的健康发展。 关键词：创业板市场 ；问题；海外创业板市场 ；比较；对策； Our country gem market existing problems and countermeasures Abstract: the establishment of gem market in China has great meaning to our country, its startup investment system of construction, the construction of multi-level capital market and other aspects of economic reform in our country has a large role.
