浅谈BOT方式投资 摘要：BOT投资方式是建设—经营—移交（build-operate-transfer）的简称，是近年来在国际上广泛流行的投资形式。典型的BOT形式是政府提出某一项目，与外国投资部门（私营部门）的项目公司签订合同，由项目公司负责筹资、承建，项目公司在协议期内拥有运营和维护这个项目的设施，并通过收取使用费或服务费用，回收投资并取得合理的利润。协议期满后，这项设施的所有权无偿交给政府。BOT方式是一种利用私人资本投资于基础设施的融资方式，通过BOT方式承建的工程都是大型资本、技术密集型项目，主要集中在公路、发电厂、铁路、废水处理设施和城市地铁等基础设施项目。 全文共分为五章：首先对阐述了BOT投资方式的选题背景和研究意义，并对国内外研究现状进行分析，从分析入手深入地阐述了BOT的理论基础及特殊价值，同时揭示利用该方式的合理性。接着文章通过对比和个案分析，探讨了BOT投资方式在我国的实践情况，并提出了一些法律规制建议。最后，文章就BOT的优缺点提出几点有益的建议。 关键词：BOT;基础设施；项目；法律 ABSTRACT: BOT investment way is construction - operation - short for handover (build operate transfer), is widely popular in the international investment in recent years. Typical BOT form is that the government put forward a project, and the foreign investment department (private sector) of the project company to sign the contract, the project company is responsible for the financing, construction, project company during the agreement period with operation and maintenance of the facilities of the project, and through charge or service fee, investment recovery and obtain a reasonable profit. Agreement expires, the ownership of the facility free of charge to the government. BOT mode is a kind of using private capital to invest in infrastructure financing way, by way of BOT construction projects are large capital and technology intensive projects, mainly in roads, power plants, railways, wastewater treatment facilities and infrastructure projects such as urban subway.
