摘要： 随着经济全球化的发展，在全球范围内掀起了新轮的跨国并购浪潮，使之跨国并购成为国际直接投资的主流形式。特别是中国加入WTO以后，跨国公司在华的并购活动愈演愈烈，并朝规模化、系统化和控制化的方向发展，我国成为了跨国并购的主战场。而随着我国经济的发展和与世界经济的接轨，跨国并购也将成为我国引进外商直接投资的主要手段。这对我国国民经济发展将带来一定的负面影响，包括国有经济战略地位丧失、国有资产流失、垄断行为，以及就业减少等问题本文通过运用现状分析法和案例分析法，就跨国公司在华并购的现状、我国面对跨国公司在华并购中存在的问题、跨国公司在华并购对我国经济的影响特别是其对我国经济的弊进行了分析，提出了积极稳妥地推动跨国公司在华并购；借鉴各国经验，建立和健全法律法规体系；进步完善金融市场，加强对国有企业的扶持，合理保护国有资产；采取积极防御策略，防止跨国公司的恶意并购；发展大型企业，积极参与跨国并购与竞争的策略来应对跨国公司在华并购，发挥其对我国经济发展有利的面，规避其对我国经济发展带来的弊端。[关健词] 跨国公司 跨国并购 负面影响【Abstract】With the development of economic globalization, setting off a new round of transnational mergers and acquisitions in the global scope, the transnational merger and acquisition has become the mainstream form of international direct investment. Especially after China joined the WTO, acquisition activity in China Multi-National Corporation intensified, and toward large-scale, systematic and control the direction of the development of our country, become the main battlefield of transnational mergers and acquisitions. With the practice of Chinas economic development and with the world economy, transnational M A will become the main means of Chinas foreign direct investment. At the same time, the development of our national economy will bring some negative effects, including the strategic position of state-owned economy, the loss of state-owned assets loss, monopolistic behavior, and to reduce employment.
