AbstractForalongtime，thecontentoftheContractlawArticle52Item5isthepointatissue. ThereisgreatvaluetounderstandandapplycorrectlyoftheActtomaintainthecivillaw autonomousprincipleandunderstoodcorrectlyofthevalidityofthecontractbetweenthe parties.Incurrentjudicialpracticeandtheory,forthelegislationhasnotgiventhespecific discriminationstandardbetweentheeffectcompulsoryrulesandmanagementcompulsory rules and the knowledge reserve and subjective understanding of judge have a hugedifference，sotheunreasonablejudgmentwhichinvolvedArticle52Item5arestillmassiveexistdespitetheexplanationIofcontractlawhasbeenclearaboutthespecificareaof compulsoryrulesandtheexplanationIIofcontractlawalsobestrictlydefinedthe compulsoryrules as effect compulsoryrules.Thispapermainlyadoptsthecaseanalysismethod,thelawexplanationstudymethodas well as the method oftheorywith practice，focuson clarifyingthe connotation of compulsoryrulesandaimtobenefittheArticle52Item5understandingandapplyinginjudicialpractice and maintains theordered operation ofmarket economy.Besides introduction andconclusion ,this paper consists offourparts：PartI：Introduction ofcase.Introducethebackgroundoftransfer oftheright to the useof thelandandthehouserelocationcompensationofcontractdisputecasebetweenaprivately operatedrealestate companyand aState-ownedconstruction company.PartII:Thedivergentopinionanddisputefocalpointofthecase.Thereisalotof divergenceofthespecificunderstandingandapplicablebecauseofthespecificareaof compulsoryrulesandspecificdiscriminationstandardbetweentheeffectcompulsoryrules andmanagementcompulsoryruleshavenotbeenclear.Thedisputedifferenceofthiscaseis mainlyonwhethertheinvolvedcontractisinvalidforviolatingofcompulsoryrules.Ontheidentifiedforthevalidityofthecontract，theControversymainlyfocusedontheareaofcompulsoryrulesanddiscriminationstandardbetweentheeffectcompulsoryrulesand management compulsoryrules to determiningthevalidityof contracts.PartIII:Theoreticalanalysis.Thispartisthekeypartofthepaper.Throughthe the
