中 文 摘 要我国房地产业从改革开放以来已经走过三十五年风雨历程，2000 年以后行业 整体更是得到了突飞猛进的发展。然而到了 2010 年后，市场进入成熟期，专业化 分工格局逐步出现，随着国家限购、限贷、税收政策等宏观调控措施的出台，原 有的“借钱—拿地—开发—销售”一条龙重资产商业模式由于受到土地高持有成 本的制约成为了很多房地产企业发展的瓶颈，同时愈发严峻的销售形势造成企业 资金回流速度过慢，很多房地产企业都面临着高财务风险及资金链断裂的危机。 在此背景下，很多新型商业模式开始出现，其中之一就是代建模式：企业转型成 为专业开发商，将商业模式的重心放在开发和销售环节，由投资商来提供土地和 资金，自己输出品牌、技术和渠道，进而创造出更高的价值。这种商业模式的创 新是企业获得长期竞争优式的根本保证，是企业重现活力、解决债务危机的好办 法，更是为企业财务战略调整奠定基础，从根本上解决了资金链断裂的关键所在。国内外学者对商业模式和战略的关系研究存在很多争议，本文以学者们的研 究为基础进行分析提炼，并采用其中一种受到广泛认可的说法，形成本文研究的 理论框架，即商业模式是一种战略工具，商业模式决定财务战略，财务战略反作 用于商业模式。不同的商业模式影响到财务战略的前瞻性安排，财务战略的合理 选择又反过来加强商业模式的核心竞争力。因此，财务战略对促进商业模式的发 展，提高企业财务业绩至关重要。本文在商业模式的基础上研究财务战略的整体 框架和具体实施方案。那么，代建模式下的房地产企业如何合理安排财务战略呢？本文围绕这个问 题选取了我国最先采用代建模式并获得初步成功的绿城中国控股有限公司作为案 例。案例介绍主要对绿城的背景、基本情况、竞争优势作介绍以及绿城危机进行 探讨，所采用的分析工具是 SWOT 分析和财务报表分析，通过分析总结绿城转型的 必然趋势。案例讨论主要分三部分研究：第一部分是对绿城代建模式的整体财务 战略分析；第二部分是探讨绿城代建模式的具体财务战略决策，将财务战略细化I为筹资战略、投资战略、股利分配战略、营运资金战略，同时结合商业活动分析财务战略的具体实施方案。文章最后结论总结案例成功之处，并以绿城案例为基 础对采用代建模式的房地产企业提供建设性意见，并提出本文的研究局限和展望。关键词：房地产企业代建模式财务战略绿城IIAbstractChinese real estate industry has already passed the course of winds and rains over 35 years since reform and open to the outside world.
