Firstly, the author makes a study on the history and formation of this concept, and the purpose of clarification of “unfitness” in the statute law, i.e. 1 to put the director who is unfitness to manage the company out of the way in order to protect the public’ s interests; 2 to generally deter directors’ wrongful acts and improve the standard of directors’ performances. With the development of this concept, courts have formed lots of principles and some ways of tests on “unfitness” such as “unwarranted risk test” etc. Secondly, comparison between mandatory disqualification and disqualification with discretion is made. Under Section 6 if the court has determined the “unfitness” of the director, they must make a disqualification order, which is a mandatory disqualification. But under Section 8, if the director has been found “unfitness”, the court may use discretion to determine whether to disqualify the defendant. Thirdly, the author makes research on the general principles of “unfitness”. The factors to determine “unfitness” are listed in the schedule 1 in section 9. Though there is the guidance of schedule 1, the courts still encounter various difficulties to determine “unfitness”. The reason is that the standard and degree of each factor the court should consider is not clear. Different judges hold
