Sale and Purchase Contract for Steam Coal 煤炭购销合同No63-1 This contract is made on October, 2009,by and between : 本合同由如下双方于2009年10月 日签署： SELLER : 卖方： BUYER : 买方： DEFINITIONS： In this Agreement unless the context otherwise requires 在此协议中除非有其它要求： “adb” means air dried basis. “adb”是指空干基； “arb” means as received basis. “arb”是指收到基； “Cargo” means cargo of approximately 30,000-50,000MT (±5%) as per seller’s option. “Cargo”是指货物每船装运约30,000MT-50,000MT (±5%)卖方决定； “Coal” means steaming coal produced for the Seller from South Kalimantan or Sumatra. “Coal”是指卖方产的南加里曼丹或苏门答腊动力煤； Contract Quantity means 1,200,000MT (±5%) as per seller’s option. “Contract Quantity”是指1,200,000MT (±5%)卖方决定； “CIF” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time. “CIF”含义等同于（随时修正的）INCOTERMS2000确定的相同术语的含义； “Loading Port” means the vessel anchorage at, South Kalimantan, Indonesia, or such other port as the parties may agree to in writing. “装货港”是指船只停泊锚地，即印度尼西亚南加里曼丹或由双方书面同意的其它港口； “Discharge Port” means GUODIAN power plant coal wharf in Tianjin or Qinhuangdao or Dalian, China. as may be designated by Buyer. “卸货港口”是指由买方指定的中.秦皇岛或大连港国电电厂煤炭专用码头； “Kcal/Kg” means kilocalories of energy per kilogram of coal. “Kcal/Kg”是指每公斤煤炭的发热量； When calculating any price or adjusted price, or component thereof, the results of such calculation shall be rounded to the nearest cent and on half of a cent shall be rounded up.
