AbstractSincetheestablishmentofChinassecuritiesmarket,thenumberoflistedcompanieshavearapidincrease.Butthequalityoflistedcompaniesgraduallydecreasedinrecentyears.Its’commontofindagreatdecreaseoftheirperformanceafterIPO,whichnotonlyseriouslyaffectsthestabilityofthestockmarket,damagesthelegitimaterightsandinterestsofsmallandmediuminvestorsinthemarket,butalsoformsanunhealthypracticesof―listedinthepackage‖.ThispaperchoosestheIPOcompaniesinShanghaiandShenzhenExchangefrom2007to2011asthesample.Atfirst,wechoseseveralindexthatreflectingtheprofitability,thegrowthandtheliquidityoflistedcompaniestoanalysetheirperformance,andusedT-testofindependentsamplesandWilcoxonsignranktesttoexaminethesignificanceoftwoimportantindicators.AndthesecondweusedimprovedJonesmodeltoexamineiflistedcompanyhadearningsmanagementinIPO,andthenwemadeacomparisonbetweendifferentyears.Duringtheempiricalanalysis,wedividedthesampleintothreedifferentindustry--themanufacturingsector,theinformationtechnologyindustryandotherindustries,andmadearegressionanalysisbyyearandindustrytomakecomparativeanalysis.Finally,weexaminedtheaffectofcorporategovernancestructureoflistedcompaniesonearningsmanagement.Theresultsshowthat:(1)TheperformancebeforeandaftertheIPOoflistedcompanieshasagreatchange,andbothofprofitabilityandgrowthofmostlistedcompanieshasasignificantdecline.(2)ThelistedcompanieshadearningsmanagementbehaviorinIPOprocess,andafterlistedsuccessfullytherewasadownwardtrendindegreeofearningsmanagement.(3)EarningsmanagementofIPOcompaniesiseffectedbytheshareholdingstructureandcharacteristicsoftheboard.Keywords:IPO;Earningsmanagement;Corporategovernance目录摘要.......................................................................................................IAbstract...................................................................................................II1绪论....................................................................................................11.1研究背景及意义.................................................
