摘要自1998年4月，沪、深证券交易所首次对上市公司的强制退市作出规定，强制退市问题第一次受到关注，到2014年11月16日更为严格的退市新规正式落地，强制退市问题受到瞩目，我国上市公司强制退市问题经历了从无到有，并且被越来越重视的过程。对一个健康的证券市场而言，上市公司退市与上市同样重要。只有上市公司的退市能够顺利进行，才能保证证券市场上上市公司的质量，也才能使证券市场优化资源配置的作用得到正常发挥。一般而言，上市公司的退市分为自愿退市和强制退市，相比起主要出于私有化或是兼并目的的自愿退市，上市公司的强制退市涉及的利益面更复杂，因此存在的问题也更多。我国证券市场上被强制退市的上市公司数目为什么少，上市公司由于什么动因被强制退市，而强制退市后又引发了什么样的经济后果，这些都是值得我们思考的。本文选取长航油运作为分析对象。长航油运是2012年退市规定实施后第一家因为财务指标出现问题而被强制退市的首家上市公司，同时，长航油运也因为其作为央企下属子公司的身份而备受关注。本文以长航油运2014年被强制退市的案例作为切入点，从上市公司强制退市的动因入手，归纳案例中体现的问题，并给予解决方案，最后得出长航油运强制退市的一些启示。关键词：强制退市，动因，启示IAbstractTheforceddelistingissueinChinawasfirstregulatedinApril1998,bybothShanghaiandShenzhenStockExchange.InNovember2014,tighterrulesaboutforceddelistingwasissued.Asisknowntoall,theforceddelistingissueisgainingmoreandmoreattentioninChina.Forastockmarket,delistingisnolessimportantthanlisting.Onlywhenthedelistingissueisproperlysolvedcanthequalityofthecorporationinthestockmarketbeguaranteed,andalso,thefunctionofthestockmarketcanbeproperlyexerted.Therearetwotypesofdelisting---voluntarydelistingandforceddelisting.Corporationsdelistvoluntarilymainlyoutofprivatizationormergerpurposes.Butforceddelistingofteninvolvesmorecomplexproblem.Thereasonsandeconomicconsequencesofforceddelistingisaproblemthatworthcarefulconsidering.ThisthesistakesNanjingTankerCorp.caseasanexample.NanjingTankerCorp.wasforceddelistedbecauseofitsfinancialproblem.Itsdelistingattractedmanypeople’sattentionbecauseNanjingTankerCorp.isasubsidiaryofastate-ownedenterprise.TakingNanjingTankerCorp.asarepresentative,thisthesisanalysisseveralaspectsofforceddelisting,rangingfromreasonstooutcomes.Besides,problemsreflectedfromNanjingTankerCorp.forceddelistingcasesweresummarizedwithsolutionsproposedaccordingly.Keywords：Forceddelisting,incentives,economicoutcomes,revelationII目录摘要....................................................I图表目录..................................................V第一部分案例介绍.......................................11.1引言.................................................11.2案例背景.......
