ABSTRACTIn1980s,aseriesofreformswereperformedintransitioneconomies.Inthemeantime,insiderscontrolappearedincompany,whichseverelydeterredthesoundfinancesystemofdevelopingcountries.Consequently,in1990s,WorldBanklaunchedalarge-scaledinternationalresearchabouttheroleofbankincorporategovernance,recommendedthenewlymarketeconomiesindevelopingcountriestoimportbank-basedfinancesystemandimprovenativecorporategovernanceonthisbase.InChina,theroleofbank(especiallycommercialbank)incorporategovernanceisweak.Theclaimsofdebtorsarejustafterplight.Bank’sinterestswereerodedseverely,especiallyinlistedcompanies.IntheexperienceofGermanyandJapanhasprovedthattostrengtheningdebtors’roleoncorporategovernancecaninsuretheirinterests.Consideringtheabovementioned,thispapermakeuseofcorporategovernancemechanismsbasedonthepropertyrightswhicharecreditors’andshareholders’rights,andinvestigatestheroleofcommercialbanksoncorporategovernanceoflistedcompaniesinChinathoughdirectorboardsandcorporatecontrolmarket.Thispaperdiscussesthemechanismsandapproachofwhichtheroleofbankoncorporategovernanceinlistedcompanybymeansoffinanceintermediationtheoryandcorporategovernancetheory.Itstudiesmainlyonfourmechanisms:bankdebtor’ssupervisedmechanisms,bankasshareholders,bankersonboards,andbankdebtaffectedcorporategovernancethoughcontrolmarket,moredetailedasfollows:Chapter1,thispartaimstoformthesis’framework.Firstly,bringsforwardproblems,andthenonthebasesofnativeandinternationaldata,putsforwardresearchhypotheses,decidesinvestigationmethods,andsumsupinnovations.Chapter2,therelationsofacommercialbankandacompanyisanalyzedfromthemacroandmicroaspects.Firstly,financeintermediationtheorywhichisfromthemacropoint;secondly,enterprisetheorywhichisfromthemicropoint,includingcorporategovernancetheory,corporatepropertyrighttheory,capitalstructuretheoryanddelegatingtheory,etc.Chapter3,thispartmainlystudiesthecorporategovernancemechanismsofbankdebtonviewofrelationofbankandenterprise.Theauthor’smaincontributionsareasfollows:tosumupcorporatego
