西华大 西华大学硕士学位论文 财务视 财务视角下铁路建设项目优先股融资问题研究 I I PAGE PAGE IV 摘 要 尽人皆知，石油是工业的血液，煤炭是工业的粮食，电能是工业的动力，而铁路不 但是国家首要的基础设施，更是国民经济的大动脉。铁路运能及运量的发展与国民经济 发展呈正相关关系。经济发展越快，国民对铁路服务需求越大。尽管铁路事业近年来蓬 勃发展，但是按人口计算，其路网密度仍只有 0.56 千米/每万人（而美国约为 5.6 千米/ 每万人），即人均 5.6 厘米，不及半根铅笔的长度，显然不能满足国民需求。致使铁路求 过于供的根结所在便是铁路建设资金欠缺。传统的融资模式已远不能满足铁路建设发展 的需求，在新形势下需要研究和探讨出适合于国情的铁路建设融资新模式。 从国外经验和国内试点来看，采用发行优先股筹集大额资金是行之有效的方法之 一。建设铁路需要大量资金，无论英国还是美国，它们都是主要依靠发行优先股来融资。 中国铁路建设是否也可以采取发行优先股来融资，需要从我国的实际情况出发做深入全 面研究。 在总结国内外学者对优先股研究成果的基础上，对优先股的定义、特征、分类、功 能以及缺点进行阐述。根据目前铁路建设项目融资现状及存在问题，借鉴国外优先股融 资先进经验，得出铁路建设项目优先股融资是必要的、可行的，并创造性的提出了具体 操作思路：⑴优先股发行的三种模式：新发优先股、增设外资优先股、普通股配售优先 股；⑵发行的方案设计：优先股数量限制、类型设计、股息率的确定、优先股权利的设 计。同时，指出发行优先股的特别注意事项：建立法律依据、会计核算方式、税收减免 优惠政策。 相较于国内现存的研究成果，在如下方面本研究看法有所不同： 第一，优先股融资具体操作思路。回顾铁路建设项目优先股融资情况，虽然国内已 有大量的研究成果，但是还未发现有深入到其具体操作思路层面的研究。 第二，提出优先股融资应特别注意的事项。从法律、会计、税收政策等方面提出问 题及建议，可供参考和借鉴。 研究中可供借鉴的资料较少，且搜集困难，论证难免不充分、不完善，而且最终结 论在当前条件下还无法验证。但是，毋庸置疑优先股融资在铁路项目建设中是可行的， 它的发展前景广阔。 关键词：铁路项目；优先股；融资； Abstract As we all know, oil is the blood of industry, coal is the food of industry, power industry is the driving force, and the railway is not only important national infrastructure but also the main artery of the national economy. Railway transport capacity and development of the national economy showed a positive correlation between the volume. The faster economic development, the greater the national demand for railway services.
