本科生毕业论文（设计）   外资在华并购的垄断分析 Fl Analysis of Monopoly Caused by foreign mergers and acquisitions in China F, L 2013年3月29日 摘　　要 进入21世纪以来，一股企业跨国并购的浪潮正席卷全球。兼并与收购已逐渐成为跨国企业改善经营、扩大规模、提升实力的主要措施，对世界经济结构产生了深远的影响。而从2001年中国加入WTO以后，中国便以一种开放的姿态，积极参与世界经济的发展进程，为了吸引外资的进入，先后出台了许多优惠政策。毫无疑问，驻华外资为我们带来了先进的科学技术与管理经验，使得国内企业法人治理结构、监督与决策机制得到修正与完善，同时也推动了我国产业结构的优化升级与企业机制的转换。但与此同时，我们也注意到，随着外资在华并购规模与行业范围的不断扩大，外资所占市场份额逐渐扩大，其影响力越来越强，外资在华并购已出现了垄断倾向。如何合理利用引进外资带来的正面效应，同时使其负面效应降至最低，已引起许多国内外学者的关注。 本文将分为以下四个部分。 第一部分是文献综述，从域外效力原则、财务管理等不同的方向、角度，归纳了学者们目前对如何解决外资在华并购的垄断倾向这一课题的不同见解、看法。 第二部分介绍了外资在华并购的现状，包括并购的方式、集中分布的行业等． 第三部分是文章的重点内容。首先，说明外资在华并购过程中存在着垄断倾向，并指出该倾向的表现。接着，又进一步解析了导致垄断原因。然后文章又从垄断的角度指出了外资在华并购的特点。最后，文章还分析了外资并购垄断倾向带来的危害。 第四部分首先根据我国经济、社会的发展实际，指出我国规制外资并购应有的目标。接着，又指出要根据以上目标合理确定外资并购中垄断行为的判断标准。最后，从法律、经济等角度提出了我国在应对外资在华并购垄断倾向时应采取的措施。 本文的创新之处在于专门站在垄断的视角分析了外资在华并购的特点，并针对此提出了判断垄断行为的合理标准与规制垄断性并购的方法与措施。为我国接下来的反垄断工作提供了方向。 关键词：外资在华并购；垄断；反垄断 Abstract Since the 21st century, a wave of cross-border mergers and acquisitions is sweeping across the whole world. Mergers and acquisitions have gradually become the major measures that a multinational enterprise would like to take in order to improve its operations, expand its scale and increase its strength, which exerts profound effects on the world economic structure. Since we China joined WTO in 2001, we have always been taking part in the development of world economics actively and openly. In order to attract more foreign capital, our government has formulated lots of preferential policies. There is no doubt that foreign investment brought us advanced technology and management experience, which not only helps our nation accomplish corporative management structure and supervision and decision-making mechanism, but also promote the optimization and upgrading of our industrial structure and the conversion of enterprise mechanism.
