基于业绩的浙江万马药业高层管理人员激励方案设计硕士学位论文 浙江大学 MBA学位论文 基于业绩的浙江万马药业高层管理人员激励方案设计摘要 医药行业是高技术、高风险、高投入、高回报的产业,一直是发达国家竞争 的焦点,随着经济全球化的发展,国际竞争日趋激烈。与传统企业相比,医药企 业是技术、知识和人才密集型,并以追求创新为核心经营内容的企业群体。 企业高层管理者在现代企业生产经营过程中起着举足轻重的作用,作为企业核心 决策层的高级管理人员,他们担负着包括战略管理在内的一系列重大决策的职 责,直接关系到企业的生存与发展,是企业的主体和发展中枢,因此研究企业高 层管理者的激励方案设计,明确怎样的激励才能激励和留住企业的优秀高层管理 人员,对于我国现代企业制度的建立和完善,企业高层管理者的成长以及企业经 济效益的提高都有重要的理论和现实意义。 本文首先以我国上市的医药企业为样本做描述性研究,考察上市医药企业高 层管理人员报酬激励的总体状况,对报酬结构和报酬水平的状况得出一些结论: 我国上市医药企业高层管理人员报酬结构不尽合理,多元性表现不足,股权激励 手段缺乏;我国上市医药企业高层管理人员持股比例偏低,且“零报酬”、“零持 股”现象较突出。 然后用我国上市医药企业的数据,建立回归模型,运用假设检验的方法,对 上市医药企业高层管理人员的报酬与企业的经营业绩进行分析研究,指出我国上 市医药企业高层管理人员年度货币收入表现出显著的激励作用,但持股激励制度 呈现出无效状态;我国上市医药企业高层管理人员年度货币收入受到公司经营业 绩、公司规模两个因素的影响最大,年度货币收入与持股比例表现出一定的替代 性。 最后借鉴上市医药企业高层管理人员激励状况实证研究的结果,用权变的观 点,依据企业发展的生命周期、所在行业的特点和发展趋势、企业的历史背景和 经营情况以及高层管理人员的个性化需求,对浙江万马药业有限公司的高层管理 人员的激励方案进行设计。 关键词:业绩 高层管理人员 激励方案设计1浙江大学 MBA学位论文 基于业绩的浙江万马药业高层管理人员激励方案设计 Motivation Mechanism Design on Performance of Top Managers for Zhejiang Wanma Pharmaceutical Co., LtdAbstract Along with the globalization and the increasingly heated competition between countries, the pharmaceutical industry, which is always a focus of national contests, is fraught with high technology, great ventures, and large profits.
