The precaution of risk of real estate industrial financing lease law A Dissertation Submitted for the Degree of Master Candidate： Zhan Puhe Supervisor： Prof. He Guihua Chang’an University, Xi’an, China 发 发 内容摘要 融资租赁产生后 60 年来在世界范围内迅猛发展，市场渗透率达到 30%。是 集金融、贸易、服务为一体，具有独特的金融功能，成为仅次于银行信贷的第二 大融资方式，被誉为“朝阳产业”。我国融资租赁业起步较晚，2004 年融资租 赁作为融资手段才开始在房地产业中应用，由于我国的融资租赁业并不发达，实 务中对融资租赁的错误认知和立法上的不完善，造成融资租赁在房地产业操作中 存在较大的法律风险。 本文开始介绍了融资租赁的研究背景，包括在不同领域融资租赁概念的界定 和特点、类型等有关理论知识。然后从房地产作为融资租赁的标的物入手，分析 房地产融资租赁风险存在的原因，通过运作流程引出实践交易中存在的风险并加 以分析。接下来对美国融资租赁登记制度和德国融资租赁合同形式及租赁物风险 承担等内容进行介绍，了解国外成功模式，结合我国发展现状借鉴其经验。最后 总结上文对防范房地产融资租赁风险作法律建议。希望能够尽量降低融资租赁在 我国房地产业中存在的风险，以促进房地产市场繁荣发展。 关键词：房地产业；融资租赁；法律风险 ABSTRACT In the 60 years, finance lease keeps being developed rapidly in the world after it was generated; the penetration rate is 30%. Finance lease is a kind of financingwayhas unique financial function with finance, trade, service which is honored as sunrise industry and became the second largest financing way, after bank credit. In China, finance lease started relatively late. In 2004 it is applied to real estate industry as a financing way. Due to the underdevelopment of finance lease, the practice of financing lease with the wrong cognition and imperfection of legislation, the operation of finance lease in real estate industry still has gr eater legal risk. First, his article introduces the basic theory of finance lease, including definition and characteristics, types of finance lease and related theory knowledge in differenr field. Second, considers real estate as the subject matter of finance lease, analyse the present situation of real estate finance lease and existing problems. With the operation process leads the risk of trade practice and analyse. The next, financing lease registration system of the United States and Germany financing lease contract forms the lease item risks and so on is introduced.
