Research was made on how Incentive Subject can improve Incentive Object’s efficiency,stimulate their potentiality, and mobilize their enthusiasm by meeting their needs. Principal-agent theory is developed from some economists’ studies on enterprise internal information asymmetry and incentive issues, and the central task of the principal-agent theory is to study how the Principal design an optimal contract to incent his agent under the circumstance of interest conflict and information asymmetry. Human capital is jointly made up of individual’s knowledge, skills, seniority, experience and proficiency, and health. Investors invest material capital, while the operators’ input is their own human capital. For the human capital which is the core of enterprise – the incentive to managers, particularly operation managers, to establish a good equity incentive mechanism can not only ensure the status of human capital, effectively exert the potential of human capital, make its talents explicated, but also effectively reduce the operating costs of the 万方数据 enterprise, realize the effective allocation of resources, prompt management layer to maximize shareholders’ interests as its own behavior objective, and finally realize a win-win status for the human capital owners and shareholders.
