山重租赁员工持股计划方案分析

摘 要 在发达国家成熟的市场经济社会中,员工持股计划在企业股权设计里是相当 普遍的一种制度安排, 目前中国的国企改革也明确提出了要推行员工持股计划, 山重租赁近年来遇到了人才严重流失和运营效率不高的问题,正在试图通过推行 员工持股计划解决这些问题。因此,探讨山重租赁的员工持股计划方案,就成为 一个迫切需要研究的课题。 论文运用案例分析的方法,以山重租赁为研究对象,对其员工持股计划问题 进行了研究。论文在总结国内外经验教训的基础上,提炼中国国有企业实行员工 持股计划应采用的模式、原则、实施的步骤和流程,据此提出了山重租赁的员工 持股计划方案。论文提出,山重租赁应选择激励型和杠杆型员工持股计划,员工 持股比例应保持适度规模,对国有资产价值应由第三方评估机构合理估值。论文 还提出,员工持股范围仅限山重租赁公司的核心人员,并且通过有限合伙企业的 形式持股,员工持股数量与员工的工作岗位和贡献挂钩。为提高员工参与持股计 划的热情,对员工持股给予增量效益基础上的虚拟股权激励,同时通过员工现金 出资加银行配资方式解决资金来源问题。山重租赁核心员工持股期限被限定为长 期持有,以充分体现员工持股计划的长期激励作用。 论文及其研究结论,对其他国企的员工持股计划有一定的借鉴意义。 关键词:国企改革,股权激励,员工持股 万方数据 Abstract In the market economic society of developed countries, ESOP (Employee Stock Ownership Plan) is a common institutional arrangement for the design of company stock structure and currently the China state-owned enterprise reform also requests implementation of ESOP. Strong Financial Leasing Co., Ltd has been suffering from talent outflow and poor operation efficiency in the past few years. Therefore to give a brief research about ESOP of Strong Financial Leasing has become an urgent task. With Strong Financial Leasing being the object of study, this paper, via utilizing case analysis, concentrates on the study of the promotion of ESOP. On the foundation of summarizing the mature experience abroad and the lesson learned from domestic failure, this essay aims to analyze, summarize and refine the proper model, principle and steps and procedures that Chinese state owned companies should adopt to promote ESOP, and further to propose with the ESOP scheme
