I I 公司投资法律制度研究 摘 要 随着我国社会主义市场经济的日益发展和完善，公司的投资活动也逐渐增多，已成 为公司资本运营重要方式之一。它对公司自身资源优化配置以及其发展壮大有十分重要 意义。但是，公司的投资也会产生虚增资本、导致公司治理结构失衡和不当利用关联企 业关系等潜在危险，不仅损害债权人、少数股东和国家的利益，而且会扰乱正常的市场 交易秩序，阻碍经济的正常发展。 我国《公司法》第 15 条规定：“公司可以向其它企业投资；但是，除法律另有规定 外，不得成为对投资企业的债务承担连带责任的出资人。”关于这一条规定，我国学者 把它概括为“公司转投资”，但是笔者认为该概括有待商榷，把其概括为“公司投资” 可能更为科学。 公司投资是公司以获得未来货币增值或收益为目的，预先投入一定量的实物或货 币，经营某项事业的一种商行为，包括直接投资和间接投资两种方式。而我国《公司法》 中关于公司投资的相关规定存在效力层次低、分散和不完善等一些问题，并不能很好地 规范公司投资所带来的弊端，特别是公司投资所形成的关联企业关系。因此，笔者在考 量我国的国情、《公司法》的价值追求以及借鉴国外相关立法经验的基础上，认为我国 应该建立和完善适度限制的公司投资法律制度：采用潘德克吞立法模式，建立和完善公 司投资概念、决策机制以及关联企业关系等法律制度，然后作为专章规定在《公司法》 当中。 关键词：公司投资 适度限制 潘德克吞 专章规定 决策机制 关联关系 The study of legal system of the corporation’s r investment Abstract With the development and improvement of the Socialist market economy, the company investment is increasing and has become an important way of corporate capital operations. It is of great significance to optimize the allocation of its own resources and to promote its growth and development. However, the corporate investment will generate watered capital, causing the imbalance in the corporate governance structure and improper use of affiliate relationships, and other potential hazards, which not only damaged the minorith shareholders and creditors ,the national interest but also disrupted the normal marker transaction order and hinder the development of the economy. Chian’s Company Law Ariticle 15 provides : A company may invest in other companies, but except regulations provided by law, the company shall not be promoter that is jointly liable to the debt for the company which he invested. As for this regulation, our scholars summarized it as companies switch to investment, but I believe the summary need to be discussed and the summary of corporate investment may be more scientific. Corporate investment is intended to obtain the appreciation of currency or profit, and inputs certain amount of definite object or money previously and run a kind of business activity.
