动态能力视角下的资本运营方式选择研究 喻宗奎，陈晓慧，刘创， (重庆大学工业工程系，重庆 400030 ） 摘要：针对资本运营认识的狭隘性以及资本运营操作不当的问题，从战略需求出发，以构建 企业动态能力为视角，研究资本运营方式选择问题。结合动态能力、资本运营及战略管理相 关理论，分析了资本运营和动态能力的关系，建立了资本运营方式选择分析模型和基于动态 能力的资本运营方式选择量化分析模型，并根据不同的匹配度提出了公司资本运营方式选择 的基本思路。该研究为资本运营方式的选择提供了参考，具有良好的指导价值。 关键词：资本运营；动态能力 ；动机 中图分类号：F272.3 文献标识码：Ａ Research on the capital operation selecting from the perspective of dynamic capabilities Yu Zongkui ，Chen Xiaohui ，Liu Chuang （School of Institute Industrial Engineering,Chongqing University,Chongqing 400030) Abstract ：With focus on the problems of the narrowness of understanding for capital operation and inappropriate operation of capital operation, this thesis studies the selection of capital operation manners that is centered on constructing corporate dynamic competence by starting from the strategic needs. With combination of dynamic capabilities, capital operation and strategic management theories, the relations between capital operation and dynamic capabilities are analyzed, both the analysis model of selection of capital operation and the quantitative analysis model of selection of dynamic capabilities-based capital operation are established, and the basic idea of the selection of corporate capital operation mode is put forward according to the different degree of match. The study provides a choice of capital operation and shows good guiding value. Keywords: capital operation ；dynamic ability ；motivation 1 引言 资本运营是企业对其内部管理性战略和外部交易性战略的综合，两者的结合点是把建立 和培育企业的核心竞争能力作为根本。而在我国资本运营的理论研究和实践探索时间较短， 缺乏理论的指导，加之资本运营所需要的制度环境和条件尚不完全，以至于在资本运营的动 机和操作中存在着不少认识上的障碍。主要表现在（1）是对资本运营的理解过于狭隘。片 面地把资本运营视同于并购重组，追求多元化等而不注重内部整合。（2 ）是资本运营与生产 经营不对称，企业决策层对传统的产品经营很熟悉，而对资本运营缺乏清晰认识。在理论研 究上，国内外关于资本运营动机的研究集中在资产的保值、增值和管理效应两方面，比如马 克思在《资本论》中指出资本集中可以带来规模经济以及规模报酬递增[1]。Ansoff
