理论上的困惑，为解决金融资产管理公司在处置不良资产实践中出现的 理论上的困惑，为解决金融资产管理公司在处置不良资产实践中出现的 难题作出微薄之力。 关键词：金融资产管理公司；法律问题；不良资产；债转股；证券化 AbstractAs Abstract As important legal entity in our country economy,four financial properties management company set up successively in 1 999，symbolizing our country starts to enter substantive operation stage to manage and handle malignant funds of state—owned commercial bank．After the nearly seven years’practice，the financial property management company,while obtains the good result，also exposes all sorts of questions，particularly the problem of legal matter． From the date of production，the financial property management company is a policy—type product，it is for dealing with policy—type and system—type malignant funds of state—owned commercial banks．It is a kind of financial management institutions，capitalized by the Ministry of Finance to protect maximally capital funds，but at the same time it stimulates reform and development of state—owned banks and the state—owned enterprises．It is a pity that the administrative rules and regulations are its legal basis，such as “Financial Property Management Company Rule”．Therefore，laggard legislation cannot suffice the needs to regulate the operation of property management company standard，also to supervise its built—in function and exterior behavior．This hampers the function to deal with huge malignant funds． This article，through analyzing our country’finance property management company internal management system and exterior operation， incorporating the experience and the lessons of the overseas finance property management companies，expound the legal matters of our country finance property management companies．On this foundation，this article proposes the corresponding legislation countermeasure and the improvement suggestion．First，through the analysis of malignant funds，is clear about the legal background which our country finance property management company produces，it points out the weak financial law environment is
