中文摘要在金融全球化、集团化的趋势下，我国的金融集团在分业经营的法律体制间 中文摘要 在金融全球化、集团化的趋势下，我国的金融集团在分业经营的法律体制间 隙中产生和发展，由于金融集团本身蕴藏着巨大的风险，又由于金融集团监管法 律的缺失，金融秩序和安全面临着重大挑战。因此如何建构金融集团化下的法律 监管制度就显得十分重要。而一个制度的建构需要解决的问题和牵涉面非常广 泛，而限于文章篇幅，本文在比较分析主要金融市场国家(和地区)相关法律制 度的基础上，就我国在金融集团化趋势下如何对金融集团形式进行优化选择并如 何构建相应的监管体制和法律制度提供一些思路和建议。 要研究金融集团的法律监管问题就必须首先了解金融集团的相关理论，因为 理论是建构一个制度的基础。本文首先从金融集团一般理论出发，对金融集团的 概念、特征、类型进行厘定和辨析以及分析、归纳金融集团化所带来的风险和问 题，接着介绍了作为金融集团其中～种类型的金融控股集团的概念和其具有的优 越性，从而得出，针对目前国情，我国宜采用金融控股集团的模式。 金融控股集团只是一种金融经营模式，如何发挥其效率和如何保持金融稳定 与安全，最重要的是金融监管的体制和监管的法律制度的配套建设，因为只有它 们才能保障金融控股集团健康发展和发挥其应有的效益。文章的第三部分介绍了 主要金融市场国家和地区相关监管体制和监管法律制度的实践情况，在比较分析 的基础上，探索决定这些法律制度形成和发展的一般因素，以供我国立法借鉴。 并分析了我国现行金融法制架构对金融控股集团进行有效监管存在的缺陷，在此 基础上，就我国金融控股集团法律监管体制和制度提出立法建议。 关键词：金融集团化金融控股集团法律监管体制和监管制度 中图分类号：DF438 AbstractIn Abstract In the trend of financial globalization and collectivization，China’S financial groups have been given birth and developing between the gaps of legal systems， which requires the financial operation under the division of occupations．孙e financial order and safety is facing big challenges due to the huge risks hidden inside the financial group and the absence of the laws and regulations governing the financial groups．Therefore，it is essential to establish the legal governing system in the context of financial collectivization．The construction of a system needs to solve many problems and have lots of issues involved．Limited to the length of the thesis，1 would make research and give some advice on how to optimize the better forms of financial group and how to set up relevant governing system，which will be based on the comparative analyses of the relevant legal system of some major counties or regions dominated by their financial markets． To probe into the legal governing issues of the financial group，we must make full understanding of the relevant theory of financial group．Because theories iS the base of the construction of a new system．Whrou【曲differentiating and analyzing the definition,features and patterns of financial group
