摘要摘 摘要 摘 要 金融企业上市是新时期我们做出的新的重要选择。金融企业上 市，对于扩充资本金、转变经营机制、提高规范化运作水平和增强竞 争力都有非常重要的意义。然而，金融企业上市后需要有一个规范的 管理体系对其进行规范和管理，这就需要我们深入研究我国上市金融 企业的内部控制，发现其存在的问题，并借鉴国外上市金融企业的先 进做法，规范和完善我国上市金融企业的内部控制。 通过对我国已经上市的8家金融企业内部控制的全面调查、研究， 我国上市金融企业内部控制中存在的问题包括：公司治理结构、激励 机制、风险控制以及用人机制等方面。这～系列问题都迫切地需要我 们解决。本文通过分析国外五大上市投资银行内部控制的具体情况， 并结合我国的国情，从股权结构规范和董事会结构及独立董事相关问 题觌范来对公司治理结构进行规范；通过建立短期激励机制一一年薪 制和建立以年薪制为基础的长期激励机制来对激励机制进行规范；通 过信贷风险控制、强化稽核职能、加强不良资产的控制、提高技术风 险控制和其他风险控制来对风险控制进行规范；通过完善人才选拔机 制、积极培养复合型人才、实旌人才傈全措旌、建立健全科学的教育 培训体系和机制以及科学规范的考评体系等来对用人机制进行规范。 关键词：金融企业上市内部控制规范 AbstractAbstract Abstract Abstract FinanciaI enterprises to be listed are a new important choice that we can make in the new period．Through financial enterprises to be listed， financial enterprises casl expand capital，transform operating mechanism， improve the operation level of standardization and strengthen the ability of competition．But，after financial enterprises to be listed，we need a normative management system to standardize and manage them．So，we must research internal control of listing financial enterprises deeply,find out problem and learn from foreign listing financial enterprises and draw on their experience．After that，intemal control of listing financial enterprises Call be standardized． After researching internal control of eight listing financial enterprises， we find out that there ale series of problems，including corporate governance， incentive mechanism， risk control and human resource mechanism，and SO on。In this article，we analyze concFete circⅨrtstarlces of internal control in foreign investment banks，and combine with the situations of our eolMlny．So，through standardizing equity share structure， board of directors’structure and correlative problems of independence directors；through building short—term incentive mechanism(yearly salary system)and long-term incentive mechanism；through controlling credit risks and bad assets，strengthening function of check，and improving the ability to control technology risks
