Ab Abstract PAGE PAGE III Abstract With the completion of the 2005 listed companies tradable share reform, the capital markets rapid and stable development ,in the process of development will also have some problems ,earnings management behavior is increasingly prevalent in the listed company by the shareholders, creditors and other stake holder concerns. January 2006, China Securities Regulatory Commission promulgated the Measures for the Administration of the listed companys equity incentive plan . in September 2006, the SASAC and the Ministry of Finance jointly issued the equity incentive pilot scheme of the state-controlled listed companies, Since then, the listed companies began to equity incentive policy slowly. Previous theoretical studies suggest that the implementation of equity incentive policies can reduce agency costs, improve corporate governance structure, improve the efficiency of the companys management. From the perspective of management contract, the thesis not only to consider the impact to earnings management by equity incentives within the listed companies, but also analysis the earnings management from point of view executive compensation, jointly examine the correlation between them. Firstly, the paper arrangement the theoretical basis for executive compensation and equity incentive, and then summarize the relevant literature, on this basis, the fifth chapter does an empirical test on executive compensation, equity incentive and earnings management . This article use Shanghai and Shenzhen A-share listed companies date from 2008 to 2010 as the initial sample, excluding ST shares, excluding B shares, H shares of listed companies, and data missing companies because of its information didnt disclose ,etc. Then finally use Random sampling to choose more than 600 sample data as the research sample.
