AbstractThe Abstract The reform of the State Owned Enterpri ses(SOE)has played a very important role in the social reform of China．It will also play a key role in the development of Chinese economy． This thesis generalizes the concept of the Business Reengineering(BP) in the first instance． At present，BR usually means Business Process Reengineering(BPR)．The studies of BR are also around this aspect as’a rule． This thesiS tries to study BR in a more generalized meaning．That is to combine the analyiS of system reengineering and process reengineering．ThiS text has studied deeply on the essential problems encountered on SOE in China．These problems haye resulted from two reasons：one is the economic system；another is the operation of the SOE’S．Considering the“business reengineering theory”and the practices of SOE’S operation in China，This thesiS discusses the relations between the Chinese SOE’S Business Process Reengineering and the (Enterprises) System Reengineering． On thiS basiS，thiS thesis has alSO analyzed the critical success factors of the Chinese SOE’S reengineering according to the common characteristics of theirs．It is regarded that the critical success factors of SOEs’BR include following five aspects：if they can set up genuine modern enterprise’S system；if they can determine the goal of BR in reason；if they can combIine the BR with the development of their industries and their enterprises successfully：if they can reduce the resistance to the reengineering effectively and if they can make use of the IT effectively． By using of the ideas and methods of system analysis，the framework and basic principles on the SOE’S reengineering in China are put forward finally，and this can be helpful for the reform of the SOEs in China． In short，thiS thesiS tries to grope for an effectual way on the reforming of Chinese SOE’S． Keywords：SOE，Business reengineering，Critical Success factor． Ⅱ 引 引 言 关于国有企业改革问题，长期以来政府部门和经济管理学家大多是从整个国 民经济和国有资产管理的角度对其进行研究，并把它列为我国经济体
