Signature: Date: 山东科技大学硕士学位论文摘要 山东科技大学硕士学位论文 摘要 山东科技大学硕士学位论文摘要 山东科技大学硕士学位论文 摘要 1 1 2 2 摘 要 随着经济全球化和创新国际化的发展，企业之间已经从传统的依靠规模经济、范围 经济的竞争方式逐步走向依靠技术优势的竞争方式。围绕如何提升核心技术能力，企业 创新出了多种技术获取方式，包括内部技术获取方式和外部技术获取方式。 作为外部技术获取方式的一种，技术并购正在以其特有的优点成为企业技术获取的 主要方式之一，成为企业控制权转移的重要形式。过去，由于技术并购主要出现在技术 先进、科技产业发达、科技型企业数量众多的发达国家，因此，我国学者在相关方面的 研究较少。但是，随着科技产业在我国经济社会发展中作用的增强，特别是创业板的推 出，技术并购将成为我国企业提升技术能力的重要方式。因此，对这一的科技经济现象 进行深入研究将具有重要的理论价值和实践意义。 本文将选择技术并购现有研究较少涉及的领域——目标企业选择进行研究，重点研 究如下内容：首先，在借鉴传统并购理论和总结现有技术并购活动的基础上，概括技术 并购的内涵、特征、类型以及效应；其次，依据技术并购的内涵，分析技术并购目标企 业选择的过程、原则、标准，依据标准构建相应的指标体系和评价模型；再次，利用现 实中已经发生的典型案例，验证指标体系和评价模型的正确性。 关键词：技术并购；技术获取；目标企业选择 ABSTRACT With the development of the economic globalization and the internationalization of innovation， the competitive strategies among enterprises has from relying on the traditional scale economy and the scope economy moving gradually towards the means which rely on the advantage of technology。On how to improve the core technical capabilities, a lot of ways have been innovated to obtain the needed technology，including internal and external means.
