摘要摘要 摘要 摘要 本文是关于特殊的普通合伙的硕士论文，立足于民法基本原理，运用比较 法、分析法、归纳法、历史学等方法，力图以翔实的资料和深入的分析，对特 殊的普通合伙这一新型企业形态进行较为全面的考察和较为细致的解读，并以 此为特殊的普通合伙在我国的发展提出可行的建议。 引言介绍本文的写作目的及写作思路。 正文分为以下四个部分：第一部分是对有限责任合伙的概括性介绍。首先 阐明有限责任合伙的概念、特征及适用对象；然后分析了有限责任合伙的发展 进程及有限责任合伙与其他企业形态的区别；最后对有限责任合伙的法律地位 进行了分析。 第二部分是对特殊的普通合伙的分析。特殊的普通合伙是一个新的法律概 念，本部分从特殊普通合伙的引入原因出发，依次分析了特殊普通合伙的定义、 适用范围及其特征，其中主要介绍了我国新合伙企业法的规定，同时穿插英美 有限责任合伙与特殊普通合伙的不同之处。 第三部分介绍特殊普通合伙的核心内容——合伙人的责任承担问题和债权 人利益保护问题。这也是特殊的普通合伙乃至有限责任合伙的特色之处。本部 分从我国的立法规定与英美有限责任合伙法的相关规定对这两个问题进行了阐 述。 第四部分关注我国现实。我国立法在引入特殊的普通合伙这一新的合伙形 式后，如何适用是一个现实问题。在分析了现有的缺陷后，该部分主要对完善 特殊普通合伙提出了具体建议。 最后是结语，归纳全文。 关键词：特殊的普通合伙责任承担范围债权人利益保护完善对策 AbstractAbstract Abstract Abstract Based on the fundamental of civil law，the paper conccrns the Special Ordinary Partnership by using various methodologies including comparison，analysis， induction，and historical science．It makes all in-depth and systematic study and provides a set of integrated suggestions． Apart from Introduction and Conclusion，the paper is made up of four parts． Part one is all overview of the Limited Liability Partnership．It provides all definition of the Limited Liability Partnership，and introduces the origin and development of the Limited Liability Partnership and compares it with other corporation forms．Then it’S about legal status ofthe Limited Liability Partnership． Part two discusses the Special Ordinary Partnership．Section one discusses the background and structure．Section two provides ail definition of the Special Ordinary Partnership，and compares it with the Limited Liability Partnership． Part three discusses the characteristic of the Sp。cial Ordinary Partnership， which are the scope of the liability of partners and the protection system of interest of the creditors。Section one discusses the scope of limited liabilit)，under different statutes，section two discusses prerequisites such as insurance and financial responsibility requirements． The final part suggests the significance and the difficulties of establishing the Speci
