海外代理协议 SALES AGENCY AGREEMENT 编号/No ： 日期/Date ： 此协议是双方在平等互利基础上建立的，共同遵守下列条款： This Agreement is made among the parties concerned on the basis of equality and mutual benef its to develop business on terms and conditions mutually agreed upon as follows: 1. 协议相关各方当事人 The parties concerned 生产商：鸿安企业（香港）子公司 宜昌瑞英机电有限公司（以下简称 “甲方 ”） Manufacturer: Subsidiary of Hanover Enterprises Ltd. Yichang Union Inc. (hereinafter referred to as Party A) 代理商： （以下简称 “乙方 ”） Agent： (hereinafter referred to as Party B) 2.独家代理权的授予 Appointment of Exclusive Agent 甲方授权乙方为其单头电磁炉产品在日区域特约总经销商， 全权负责甲方生产的产品在日本 市场的推广，销售和售后服务事宜。 Party A hereby appoints Party B as its sole agency in the Japan market to engage in the promotio n, sales and after sales service of its single-hob induction cooker. 产品：由甲方生产的单头电磁炉。 Commodity: Single-hob induction cookers produced by Party A. 代理区域：仅限日本区域内。 Territory: In Japan only. 3.订单的确认 Confirmation on Orders 关于协议所规定的上述商品的每笔交易， 其数量、 价格及装运条件等以甲乙双方另行签定的 销售合同为准。 The quantities, prices and shipment of the commodities stated in this Agreement shall be confirm ed for each transaction, the particulars of which are to be specified in the Sales Contracts signed by the two parties hereto. 4. 付款 Payment Terms 订单确认后，乙方须通过 T/T 先向甲方支付 30%定金，在出货前须将余款通过 T/T 的方式付 清，或者按照有关销售合同所规定的时间开立以甲方为受益人的保兑的、 不可撤消的即期信 用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。 After confirmation of the order, Party B should pay 30% for deposit by T/T to Party A, the balance should be paid before shipping by T/T, or the Party B shall arrange to open a confirmed, irrevocab le L/C available by draft at sight in favor of Party A within the time stipulated in the relevant S/C.
