摘要 摘要 万方数据 万方数据 摘 要 权力来源于权利，正如“国家的权力属于人民”一样，公司的权力属于股 东。由此我们可以得出一个结论：股东是公司的主人，公司是为股东权利的实 现服务的。在现行的公司制度中，权利来源于股份占有额度，因此大股东能够 凭借个人充分的股份对公司的经营管理产生一定的影响和支配力。在这个过程 中，很容易因为监管的缺失，大股东不能完全地履行自己对公司的忠实义务， 对中小股东造成一定的损害。 近些年来，小股东权益的保护问题也引起了立法者的高度重视。修订后的 《公司法》对小股东权益的保护提升到了一个全新的高度，彰显出强烈的人本 主义色彩，体现了法律追求社会公平之主旨。其中较为突出的一项就是增加中 小股东的存在感，赋予其更多的实在性权利，而特别调查权尤为重要。 本文从股东权和股东特别调查权的内涵和外延入手，从法律制度的约束、 控制股东的刻意压制、市场规律的限制等三个方面分析了中小股东行使特别调 查权的现实阻力。提出了应从立法明确中小股东特别调查权行使的方式和程序、 完善公司管理体制、侵害中小股东特别调查权的司法救济等方面来排除阻力， 保障中小股东特别调查权。 关键词：股东权 中小股东 公司法 特别调查权 法律保障 II Abst Abstract ABSTRACT Power comes from the right, as the power of the state belongs to the people, as part of the power companys shareholders.
