INTRODUCTION 1.1 Agreement to Acquire 51% of Chongqing Yingli Real Estate Development Co., Ltd. The board of directors of Showy International Limited (the “Company”), is pleased to announce that Company had on 8 August 2007 entered into an investment agreement (the “Investment Agreement”) with the Vendors (as hereinafter defined) for the acquisition of 51% of the enlarged registered capital of Chongqing Yingli Real Estate Development Co., Ltd. (重庆英利房地产开发有限公司) (“Chongqing Yingli”) (the “Acquisition”) by making a capital contribution of approximately RMB800.0 million (the “Capital Contribution”) to Chongqing Yingli and allotting and issuing 114,000,000 new ordinary shares in the capital of the Company (the “Consideration Shares”) at an issue price of S$0.40 to the Vendors or such other persons as they may direct. As at the date of this announcement, the registered capital of Chongqing Yingli is held by Chongqing Tiancheng Industrial Company (重庆天成实业公司 )(as to 53.33%), Chongqing Tiancheng Passenger Motor Co., Ltd (重庆天成客运汽车有限责任公司)(as to 7.33%), Chongqing Jingli Property Development Co., Ltd.
