PAGE PAGE 10 合伙企业经营模式的法律思考 内 容 摘 要 近年来，我国合伙企业不断发展壮大，我国的合伙法也应当跟随目前的形势不断的健全。根根据我国2006年颁布的《中华人民共和国合伙企业法》规定（后称《合伙企业法》），新增了普通合伙和有限合伙两种合伙企业的类型，从现实的角度来看这两种合伙类型的制度存在一定的不足之处，不但不符合我国当前合伙企业法设立的这两种类型价值的初衷，还与我国合伙企业的发展产生了一定的冲突。本文根据我国合伙企业类型的现状进行分析，总结了当前合伙企业类型与有限合伙、特殊合伙等从法律角度上存在的优缺点。例举国外合伙企业来对比我国合伙企业，分析我国合伙企业经营模式上存在的差异。根据有限合伙与特殊合伙来当来区分两者之间的差距。从分析合伙经营模式中探索未来我国合伙企业发展的道路。 关键词：合伙企业；经营模式；法律思考 Abstract In recent years, the partnership enterprises in our country have been growing, and the partnership law of our country should follow the current situation. According to the provisions of the partnership law of the peoples Republic of China (hereinafter referred to as the partnership law) issued in 2006, two types of partnership have been added, i.e. general partnership and limited partnership. From a practical point of view, the two types of partnership have certain deficiencies, which are not only inconsistent with the original intention of the two types of value established by the current partnership law of China, It also has some conflicts with the development of partnership enterprises in China. Based on the analysis of the current situation of the types of partnership enterprises in China, this paper summarizes the advantages and disadvantages of the current types of partnership enterprises, limited partnership and special partnership from the perspective of law. This paper gives an example of foreign partnership enterprises to compare with Chinese partnership enterprises, and analyzes the differences in the business model of Chinese partnership enterprises. According to the limited partnership and special partnership to distinguish the gap between them. From the analysis of partnership management mode, this paper explores the future development of partnership enterprises in China.
