CopyrightContract

ThisCopyrightContract(hereinafterreferredtoastheContract)isenteredintoon[date]byandbetween[NameoftheCopyrightOwner],withanaddressof[AddressofCopyrightOwner],(hereinafterreferredtoastheOwner)and[NameoftheLicensee],withanaddressof[AddressofLicensee](hereinafterreferredtoastheLicensee).

1.GrantofRights:

OwnerherebygrantstoLicenseethenon-exclusiverightto[describetherightsgranted,e.g.,reproduce,distribute,display,perform,etc.]thecopyrightedworktitled[TitleofWork](hereinafterreferredtoastheWork)fortheperiodbeginningon[startdate]andendingon[enddate].

2.Consideration:

Inconsiderationfortherightsgrantedherein,LicenseeagreestopayOwneraflatfeeof[Amount]payablewithin[Number]daysoftheexecutionofthisContract.

3.Ownership:

Ownerretainsallrights,title,andinterestinandtotheWork,includingallcopyrightandotherintellectualpropertyrights.

4.Warranties:

OwnerwarrantsthattheyarethesoleownerofthecopyrightintheWorkandhastherighttogranttherightssetforthinthisContract.OwnerfurtherwarrantsthattheWorkdoesnotinfringeanythird-partyintellectualpropertyrights.

5.Indemnification:

Licenseeagreestoindemnify,defend,andholdharmlessOwnerfromandagainstanyandallclaims,damages,liabilities,costs,andexpensesarisingoutoforrelatedtoLicenseesuseoftheWork.

6.Termination:

ThisContractmaybeterminatedbyeitherpartyupon[Number]dayswrittennoticeintheeventofamaterialbreachbytheotherparty.

7.GoverningLaw:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State]withoutregardtoitsconflictoflawsprinciples.
