摘要
对于违约金调整中需要改进的问题，本文提出法院是否可依职权主动进行违
约金调整和是否应当对民商事合同进行区别对待两点思考，认同权威学者的观点，
认为法院可以依职权主动进行违约金调整，同时应对其持有慎重态度，在进行商
事合同的违约金调整时，应当考虑其当事人的专业知识水平与风险意识程度、风
险承担能力等因素，区别于民事合同对待。

ofthelegalsystem,moreparticipationofthelawaffectsourdailylife.Thepeoples
yearningforabetterlife,thepursuitofdemocracyandtheruleoflaw,fairnessand
justicehavepromotedthelegalsystemContinuousmaturityandimprovementhave
acceleratedthepaceofmarchingintoahighlycivilizedsocietyundertheruleoflaw.
Inpeoplesworkandlife,contractshavebecomeoneofthemostimportantand
commonlyusedcivillegalacts.Thetypesofcontractsarerichanddiverse,providing
convenienceandlegalprotectionforpeoplesproduction,operation,workandlife.
Theliquidateddamagesstipulatedinthecontractareoneoftheimportant
technologiesandmechanismsofthetransaction.Theagreedliquidateddamages
increasethedegreeofcontractcomplianceasawhole,reducepartofthecreditcost,
andprotecttheinterestsoftheobservantpartyinalegalform.Byagreeingto
compensateforbreachofcontractlosses,itexertsitsfunctionalcharacteristicssuchas
compensation,security,andpunishment.Theprincipleofgoodfaithinthecontract
