ExclusiveDistributionAgreement
ThisExclusiveDistributionAgreement(theAgreement)ismadeandenteredintobyandbetweenPartyAandPartyB,legallyregisteredanddulyorganizedentitieswithfulllegalcapacity,withaviewtojointlydevelopingandpromotingproductsandservices(theProducts)inthemosteffectiveandefficientmannerpossible.
1.Definitions
ForthepurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:
1.1ProductsmeanstheproductsandservicestobedistributedbyPartyBunderthisAgreement,asspecifiedinAnnexAhereto.
1.2TerritorymeansthegeographicalareainwhichthedistributionoftheProductsbyPartyBistotakeplace,asspecifiedinAnnexAhereto.
1.3ExclusiveRightsmeanstheexclusiverighttodistributetheProductswithintheTerritoryfortheTerm,subjecttothetermsandconditionsofthisAgreement.
1.4TermmeanstheperiodoftimeduringwhichthisAgreementistobeeffective,asspecifiedinAnnexAhereto.
2.Objectives
TheobjectivesofthisAgreementareto:
2.1enablePartyBtodistributetheProductswithintheTerritory;
2.2provideforthemutualbenefitandprotectionoftheinterestsofbothparties;and
2.3ensurethattheProductsaredistributedinthemosteffectiveandefficientmannerpossible.
3.RightsandObligationsofPartyA
3.1PartyAherebygrantstoPartyBtheExclusiveRightstodistributetheProductswithintheTerritoryfortheTerm,subjecttothetermsandconditionsofthisAgreement.
3.2PartyAshallprovidetoPartyBwithallnecessarysupportandassistanceinordertoenablePartyBtoeffectivelydistributetheProductswithintheTerritory,includingbutnotlimitedto:
3.2.1providingPartyBwithallrelevantinformationanddocumentationregardingtheProducts;
3.2.2assistingPartyBinpromotingandadvertisingtheProducts;and
