ExclusiveSupplyAgreement
THISAGREEMENTismadeonthedatesetforthbelow,byandbetweenthefollowingparties:

Customer:[NameofCustomer]
1.DefinitionsandInterpretation:
1.1.AgreementmeansthisExclusiveSupplyAgreement,includingitsannexes,ifany,andallamendmentsthereto.
1.2.Suppliermeans[NameofSupplier],acompanyincorporatedunderthelawsof[Country/State/Province],withitsprincipalplaceofbusinessat[Address].
1.3.Customermeans[NameofCustomer],acompanyincorporatedunderthelawsof[Country/State/Province],withitsprincipalplaceofbusinessat[Address].
1.4.ProductmeanstheproductdescribedinAnnexA,whichisthesubjectofthisAgreement.
1.5.PricemeansthepricefortheProduct,asspecifiedinAnnexB.
1.6.ShipmentmeansthetransportationoftheProductfromtheSuppliertotheCustomer.
1.7.TermsandConditionsmeanthetermsandconditionssetforthinthisAgreement.
2.ScopeofAgreement:
2.1.TheSupplieragreestosupplytheProducttotheCustomeronthetermsandconditionssetforthinthisAgreement.
2.2.TheCustomeragreestopurchasetheProductfromtheSupplieronthetermsandconditionssetforthinthisAgreement.
3.TermofAgreement:
3.1.ThisAgreementshallbeeffectiveasofthedatesetforthbelowandshallcontinueinforceforaperiodof[NumberofYears]years,unlessearlierterminatedinaccordancewiththeprovisionsofthisAgreement.
4.TerminationofAgreement:
4.1.ThisAgreementmaybeterminatedbyeitherpartyatanytime,foranyreason,uponwrittennoticetotheotherparty.
4.2.IntheeventofterminationofthisAgreement,theSuppliershallbeentitledtoreceiveallamountsdueandowingtoitunderthetermsofthisAgreement,includinganyoutstandingordersfortheProduct,aswellasanyotheramountsduetoitbytheCustomer.TheC
