Thisinternationaltradecontractismadebyandbetween[NameoftheBuyer],hereinaftercalledthe“Buyer”,and[NameoftheSeller],hereinaftercalledthe“Seller”,whoarejointlyandseverallyboundbythetermsandconditionsstipulatedbelow:

1.Theparties

ThepartiestothisContractare[NameoftheBuyer]and[NameoftheSeller].

2.TheobjectoftheContract

TheobjectofthisContractisthepurchaseandsaleof[Descriptionofthegoods],whichshallbedeliveredtotheBuyerbytheSelleraccordingtothetermsandconditionsstipulatedbelow.

3.Thetermsofpayment

Thepaymentforthegoodsshallbemadeby[Paymentmethod]totheSeller’saccountat[Bankname],whichshallbepaidinfullpriortothedateofshipment.

4.Thedateandplaceofshipment

TheSellershallshipthegoodstotheBuyeronorbefore[Shipmentdate]fromtheportof[Portoforigin].

5.Theinsurance

TheSellershallarrangeforinsuranceagainst[Typeofrisk]forthegoodsduringtransit,whichshallbepaidbytheSeller.

6.Thehandlingchargesandfreight

ThehandlingchargesandfreightforthegoodsshallbebornebytheSeller.

7.Thecustomsdutiesandtaxes

AllcustomsdutiesandtaxesimposedonthegoodsbythecountryofimportationshallbebornebytheBuyer.

8.Theinspectionofthegoods

TheBuyershallhavetherighttoinspectthegoodsatanytimepriortoshipmenttoensurethattheyconformtothecontractspecifications.IftheBuyerfindsanydefectsinthegoods,heshallnotifytheSellerimmediately,andtheSellershalltakeappropriateactiontorectifytheproblem.

9.Theclaimsanddisputes

IfanyclaimsordisputesarisebetweenthepartieswithregardtothisContract,theyshallbesettledthroughfriendlynegotiation.Ifnosettlementcanbereached,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththeUnitedNationsConve
