ThisInformationTechnologyServicesAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[CompanyName],a[CompanyType]incorporatedunderthelawsof[Jurisdiction](Company),and[ClientName],a[ClientType](Client).

WHEREAS,theCompanyisengagedinthebusinessofprovidinginformationtechnologyservices,andtheClientdesirestoobtainsuchservicesfromtheCompany;

ANDWHEREAS,thepartieswishtoestablishthetermsandconditionsunderwhichtheCompanywillprovidetheservicestotheClient;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:

1.ScopeofServices

1.1TheCompanyagreestoprovidethefollowingservices(theServices)totheClient,subjecttothetermsandconditionsofthisAgreement:

-Anyadditionalservicesthatmaybeagreeduponbybothpartiesinwriting.

1.2TheServicesshallbeprovidedinaccordancewiththespecifications,schedules,anddeliverablesoutlinedintheattachedServiceLevelAgreement(theSLA).

2.TermandTermination

2.1ThisAgreementshallcommenceonthedatefirstabovewrittenandshallcontinueforaperiodof[Number]monthsfromtheEffectiveDate(theInitialTerm).UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforadditionaltermsof[Number]monthseach,unlesseitherpartyprovideswrittennoticeofnon-renewalatleast[Number]dayspriortotheexpirationofthethen-currentterm.

2.2EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticethereof.

3.FeesandPayment
