ThisTechnologyDevelopmentContract(theContract))isenteredintoasof[Date](EffectiveDate),byandbetween[DevelopersName/Company](Developer),a[DevelopersCountry]entitywithitsprincipalplaceofbusinessat[DevelopersAddress],and[ClientsName/Company](Client),a[ClientsCountry]entitywithitsprincipalplaceofbusinessat[ClientsAddress](Parties).
Recitals
WHEREAS,theDeveloperhasdevelopedcertainproprietarytechnology(theTechnology)anddesirestoenterintoacontractwiththeClientforthedevelopmentofadditionaltechnology(theDevelopmentProject);
WHEREAS,theClientdesirestoengagetheDevelopertodeveloptheTechnologyfortheDevelopmentProject;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thePartiesagreeasfollows:
1.ScopeofWork
1.1TheDeveloperagreestodeveloptheTechnologyfortheDevelopmentProjectinaccordancewiththespecificationsandrequirementssetforthintheattachedStatementofWork(theSOW).
1.2TheDevelopershallperformtheDevelopmentProjectinaprofessionalandworkmanlikemannerandinaccordancewiththehigheststandardsoftheindustry.
1.3TheDevelopershalluseitsbesteffortstocompletetheDevelopmentProjectwithintheagreed-upontimeframe.
2.IntellectualProperty
2.1TheDeveloperretainsallright,title,andinterestinandtotheTechnologyandanyrelatedintellectualpropertydevelopedbytheDeveloperinthecourseofperformingtheDevelopmentProject(theDeveloperIP).
2.2TheClientshallretainallright,title,andinterestinandtoanyintellectualpropertyownedbytheClientordevelopedbytheClientinthecourseofperformingtheDevelopmentProject(theClientIP).
2.3TheDeveloperherebygrantstotheClientanon-exclusive,royalty-free,perpetual,worldwidelicensetouse,copy,modify,anddistributetheDeveloperIPforthepurposesoftheDevelopmentProject.
