    Abstract

    ChinasMeasuresfortheAdministrationofMajorAssetRestructuringofListed

    Companiesstipulatesthatlistedcompaniesshouldmakeperformancecommitmentswhen

    purchasingassetsfromcontrollingshareholders,actualcontrollersoraffiliatedpersonsunder

    theircontrol.Themainpurposeofthisistoreducetheinflatedvalueoftheunderlyingassets

    andpreventtheoperatingperformanceoftheacquiredcompanyfromfallingsharplyafterthe

    completionofthemerger.Intheory,iftheperformancecommitmentoftheacquired

    enterprisecannotreachthestandard,thelistedcompanycanobtainthecorrespondingshares

    orcashcompensation,sothattheminorityshareholderscangetcertaincompensation.

    However,inpractice,performancecommitmentscanleadtohighvaluations,high

    performancecommitmentsandhighpremiummergersandacquisitionsbecausetheycan

    conveyinformationtothemarketaboutthegoodoperatingperformanceandprofitabilityof

    theacquiredcompanies.Theoccurrenceofthisphenomenonisbasedontheinformation

    asymmetrybetweenthetwopartiesofthemergerandacquisition,aswellastheunclear

    actualvalueandoperatingperformanceoftheunderlyingassets.Atpresent,theinformation

    asymmetryinrelatedpartymergersandacquisitionsmainlyoccursbetweensmalland

    medium-sizedshareholdersandmajorshareholdersofrelatedparties.Theenforcementof

    performancecommitmentsinrelatedpartymergersandacquisitionsdoesnoteffectively

    inhibitthebehaviorofmajorshareholdersofrelatedpartiestouseinformationasymmetry

    advantagesanddecision-makingpowertouselegalloopholestoinfringeontheinterestsof

    smallandmedium-sizedshareholders.Therefore,itisofgreatpracticalsignificancetostudy

    howtoimprovetheperformancecommitmentsystemandmakeiteffectivelyprotectthe
