Parties

ThisAgreementisenteredintoandeffectiveasof[EffectiveDate],byandbetween:

Purchaser:[PurchasersFullLegalName],havingitsprincipalplaceofbusinessat[PurchasersAddress](Purchaser),and

Supplier:[SuppliersFullLegalName],havingitsprincipalplaceofbusinessat[SuppliersAddress](Supplier).

DefinitionsandInterpretations

1.Agreementmeansthis2025SemiconductorManufacturingUltra-PureWaterAgreement,includingallexhibits,attachments,andamendmentsthereto.

2.Ultra-PureWatermeanswatersuppliedbySuppliermeetingthespecificationssetforthinSection4ofthisAgreement,measuredatSupplierspointofdeliveryor,ifotherwiseagreedinwriting,atadesignatedpointpriortodelivery.

3.QualityStandardsmeansthespecifictechnicalspecificationsforUltra-PureWaterasdefinedinSection4.

4.PuritySpecificationsmeansthedetailedrequirementsforvariousparametersofUltra-PureWater,includingbutnotlimitedtoresistivity,TotalOrganicCarbon(TOC),silica,metalioncontent,pH,dissolvedoxygen,bacteriacount,andparticlecount,asspecifiedinSection4.

5.DeliveryLocationmeansthepoint(s)designatedbyPurchaseratitsfacilitylocatedat[PurchasersAddress]forreceivingUltra-PureWater.

6.SupplyPeriodmeansthecalendaryear2025.

7.OrdermeansawrittenorelectronicrequestissuedbyPurchasertoSupplierforthesupplyofUltra-PureWater,detailingtherequiredspecifications,quantity,anddeliverydateorperiod.

8.AcceptancemeansPurchaserswrittenconfirmationacknowledgingreceiptofanOrderanditsreadinessforfulfillment.

9.GoverningLawmeans[SpecifyJurisdiction,e.g.,thelawsoftheStateofCalifornia,USA],withoutregardtoitsconflictoflawprinciples.

10.ForceMajeuremeansaneventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,naturaldisasters,governmentactions,
