知识产权授权合同（专利许可专用）

ThisLicenseAgreementismadeandenteredintoasof[InsertDate],byandbetween[LicensingPartyFullName],havingitsprincipalplaceofbusinessat[LicensingPartyAddress](Licensor),and[LicenseeFullName],havingitsprincipalplaceofbusinessat[LicenseeAddress](Licensee).

1.Definitions

InthisLicenseAgreement,unlessthecontextotherwiserequires:

1.1.Patent(s):referstothepatentright(s)identifiedasfollows:[InsertPatentName(s)],PatentNo.[InsertPatentNumber(s)],filedon[InsertFilingDate(s)],grantedon[InsertGrantDate(s)],withprioritydate(s)of[InsertPriorityDate(s)],issuedby[InsertIssuingOffice],effectivein[InsertCountry/Region],covering[brieflydescribetechnicalfield],thevalidityofwhichismaintainedbyLicensor.Thistermmayincludeanycontinuations,divisions,continuations-in-part,reissues,orenhancementsoftheaforementionedpatent(s)thatLicensormayobtain,providedsuchenhancementsdonotmateriallyalterthefundamentalnatureofthelicensedinventionwithoutthepriorwrittenconsentofLicensee.

1.2.License:referstothelicensegrantedbyLicensortoLicenseeunderthisAgreementtousethePatent(s)asprovidedherein.

1.3.Territory:refersto[Insertspecificgeographicalarea,e.g.,alloftheUnitedStatesofAmerica,orspecificcountries/regionslisted].

1.5.Duration:referstotheperiodcommencingon[InsertStartDate,e.g.,thedateoffirstpaymentifapplicable,oraspecificdate]andendingon[InsertEndDate,e.g.,aspecificdate,ortheexpirationoftheearliestpatentunlessotherwisespecified].

1.6.ModeofUse:referstotheuseofthePatent(s)forthepurposeof[Insertspecificactivities,e.g.,manufacturing,using,selling,offeringforsale,importing]productsthatincorporatetheinvention(s)
