1.BackgroundandPurpose

Whereas,PartyAandPartyBintendtoestablishalong-term,collaborativepartnershiptoenhancetheefficiency,resilience,andcompetitivenessofthesupplychainrelatedtotheprocurementandsupplyoftheproducts/servicesdefinedherein;
Now,Therefore,PartyAandPartyBagreeasfollows:
2.DefinitionsandInterpretations
ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:
(a)Products/ServicesreferstothespecificgoodsorservicesdetailedinAppendixA(ifany)orotherwisemutuallyagreeduponinwriting,tobeprocuredandsuppliedunderthisAgreement.
(b)ProcurementreferstotheprocessbywhichPartyAacquirestheProducts/ServicesfromPartyBasdefinedherein.
(c)SupplyChainCollaborationreferstothejointeffortsandmechanismsestablishedbetweenPartyAandPartyBtooptimizeandintegrateprocurement,production,logistics,andotherrelatedactivitieswithinthesupplychain.
(d)SharedInformationreferstodataandintelligenceexchangedbetweenPartyAandPartyBconcerningmarkettrends,salesforecasts,inventorylevels,productionschedules,qualitymetrics,andotherrelevantoperationaldataasspecifiedinSection6.
(e)ConfidentialInformationreferstoanynon-publicinformationdisclosedbyeitherPartytotheotherinconnectionwiththisAgreement,includingbutnotlimitedtobusinessplans,financialdata,technicalinformation,customerlis
