韩国最大的移动消息服务运营商KakaoCorp（运营KakaoTalk）将与较小的上市互联网门户

DaumCommunications进行全合并，该对消息应用运营商的估值为3.1韩元（约

合30亿）。

根据协议，私营公司Kakao放弃了明年在首尔上市的计划。此次合并将帮助两家公司更好地与

竞争，是韩国最大的互联网门户运营商，也拥有竞争对手移动消息应用Line。

韩国第二大互联网门户Daum将向Kakao股东4300万股新股，其中包括

3300万股普通股。Kakao的股东每持有1股Kakao将获得约1.5股合并后公司

的，而Daum的股东将以1:1的比例获得合并后公司的新股。

新公司将被命名为DaumKakao，并将于10月上市，前提是获得股东批准。预计

其市值将达到约4韩元，相比之下，的市值为25.6韩元。

Daum表示，此次合并将提升两家公司的竞争力，并为国内外的积极扩张铺平道路。

Daum表示：“我们可以通过利用Kakao的移动流量来确保互联网业务的增长，

而Kakao也可以通过Daum的专业人才、技术、内容和平台来加强其移动服务。”

KakaoTalk在亚洲拥有约1.45亿用户，约为使用用户的四分之一。但与

不同的是，Kakao将其免费消息服务作为更广泛社交和内容平台的基础。竞争对手

的Line拥有4.5亿用户。

Daum,thecountry’ssecond-largestinternetportal,willissue43mnewsharestoKakao

stockholders,including33mcommonshares.Kakaostockholderswillreceiveabout1.5

sharesinthemergedcompanyforeveryKakaosharethattheyown,whileDaum

stockholdersreceivenewsharesofthemergedcompanyataratioof1:1.

ThenewcompanywillbecalledDaumKakaoandwillbelistedinOctober,pending

shareholderapproval.ItisexpectedtohaveamarketvalueofaboutWon4tn,compared

with’sWon25.6tn.

Daumsaidthatthemergerwouldboostthetwocompanies’competitivenessandpave

thewayforaggressiveexpansionoverseasaswellasathome.
